RunCell Terms of Service

1) Acceptance of terms

By creating a RunCell account, installing the JupyterLab extension, or otherwise using the service, you agree to these Terms of Service, our Privacy Policy, and any additional product-specific policies we publish. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.

2) Accounts & eligibility

• Accounts are provisioned through OAuth identity providers (e.g., Google).
• You must provide accurate registration information and keep it up to date.
• You are responsible for maintaining the security of your credentials and devices.
• Users must be at least 16 years old unless local law requires a higher age.

3) Plans, billing & upgrades

We offer Free, Pro, and Team subscriptions. Paid plans are billed in advance on the cadence presented at checkout. You authorize us and our payment processors to charge the payment method associated with your account. Plan upgrades take effect immediately and may generate a prorated charge. Downgrading a plan may limit or remove functionality; no refunds are provided for partial billing periods unless required by law.

4) Service availability & changes

We aim to provide reliable access to RunCell but do not guarantee uninterrupted uptime. We may modify, update, or discontinue features with reasonable notice when possible. If we make a material change that significantly reduces core functionality for a paid plan, you may terminate the plan and request a refund for the unused portion of the billing term.

5) Acceptable use

• Do not attempt to disrupt, probe, or gain unauthorized access to our systems.
• Do not use RunCell to violate applicable law or infringe on others’ rights.
• You are responsible for the content you submit, including prompts, files, and generated outputs.
• We may suspend or terminate accounts engaged in abuse or security risks.

6) Customer data & privacy

We process personal data and workspace context as described in the RunCell Privacy Policy. Paid plans enable “Privacy Mode,” meaning your prompts and outputs are not used to train or fine-tune models. Free plan data may be used to improve RunCell as outlined in the Privacy Policy. You remain the owner of your content; we only use it to operate the service and comply with law.

7) AI features & model providers

RunCell orchestrates requests to third-party large language model (LLM) providers you select in the product. We instruct providers not to use your data for training where their controls allow, but they may perform limited abuse or quality checks. You are responsible for evaluating model outputs and applying human judgment before acting on them.

8) Intellectual property

Kanaries owns all rights in the RunCell service, documentation, and associated trademarks. Subject to these terms, we grant you a limited, non-exclusive, revocable license to use RunCell for your internal business or personal purposes. You grant us the rights necessary to host and process your content solely to provide the service.

9) Confidentiality & security

We protect customer data with TLS in transit, encryption at rest, and role-based access controls. Each party agrees to protect the other’s confidential information with at least reasonable care and to use it only for purposes permitted under these terms.

10) Termination

You may stop using RunCell at any time. We may suspend or terminate your access if you breach these terms, create risk, or fail to pay fees when due. Upon termination, your right to use the service ends, but sections intended to survive (including confidentiality and limitations of liability) will continue in effect.

11) Warranties & disclaimers

RunCell is provided “as is.” To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that model outputs will be correct, complete, or suitable for any specific use case.

12) Limitation of liability

To the extent permitted by law, Kanaries’ total liability arising out of or relating to these terms is limited to the greater of US$100 or the amounts paid to us for the service in the twelve months preceding the event giving rise to the claim. We are not liable for consequential, incidental, special, indirect, or punitive damages, including lost profits or data, even if advised of the possibility.

13) Indemnification

You agree to indemnify and hold Kanaries and its affiliates harmless from claims arising out of your misuse of RunCell, your violation of these terms, or your infringement of any third-party rights.

14) Changes to these terms

We may update these terms from time to time. We will provide notice of material changes through the service or by email. Continued use after the effective date of an updated policy constitutes acceptance of the revised terms.
